These Terms of Service ("Terms") govern your access to and use of the SDIT website located at https://sdit.ai and any services offered by SDIT AI Operations ("SDIT", "we", "us", "our"). By accessing this website, requesting our services, or engaging with any of our content, you agree to be bound by these Terms. If you do not agree, do not use this website or our services.

1. Acceptance and Eligibility

By using this website or engaging with our services, you represent that:

You are at least 18 years of age and have the legal capacity to enter binding agreements.

If acting on behalf of an organisation, you have the authority to bind that organisation to these Terms.

You will use our website and services only for lawful purposes and in accordance with these Terms.

These Terms constitute a legally binding agreement between you (or the entity you represent) and SDIT. These Terms apply to all visitors, users, and persons who access or use the website.

2. Services Overview

SDIT provides artificial intelligence operations consulting services, including but not limited to:

AI Support Desk Systems: AI-powered agents trained on client knowledge bases to handle operational support queries

Internal AI Copilots: Custom AI assistants embedded into client workspaces

AI Workflow Orchestration: Intelligent workflow engines for enterprise process automation

AI Operational Audits: Structured discovery and ROI assessment engagements

AI Modernization: API layers, intelligent connectors and middleware for legacy systems

AI Operations Retainers: Ongoing monitoring, optimisation and expansion of deployed AI systems

The specific scope, pricing, deliverables, and terms of any engagement are set forth in separate written agreements (statements of work, service agreements, or proposals) between SDIT and the client. In the event of conflict, the separate written agreement prevails over these Terms for the specific engagement.

3.1 Third-Party Intellectual Property Disclaimer

All original content on this website — including but not limited to text, design, graphics, code, methodology descriptions, process frameworks, service descriptions, and the "SDIT" brand name and logo — is owned by SDIT or its licensors and is protected by applicable intellectual property laws worldwide, including Mexican copyright law (Ley Federal del Derecho de Autor), US copyright law (17 U.S.C.), and international copyright treaties.

You may not copy, reproduce, modify, distribute, display, perform, or create derivative works of any SDIT content without prior written consent. Linking to our website for informational purposes is permitted.

3.4 AI-Generated and Third-Party Tool Outputs

To the extent SDIT uses third-party AI tools (such as those listed in Section 3.1) in delivering services to clients, outputs from those tools are subject to the terms of service of the applicable provider. SDIT does not claim ownership of model weights, base model architectures, or outputs that are subject to third-party ownership. Clients should review the terms of applicable AI providers independently.

4. Acceptable Use

You agree NOT to use this website or our services to:

Violate any applicable law, regulation, or third-party rights

Scrape, crawl, or harvest data from this website through automated means without our written consent

Attempt to gain unauthorised access to our systems or those of our clients

Impersonate SDIT, its employees, or any other person

Use our brand name, logo, or service names in a manner that suggests affiliation, endorsement, or partnership without written authorisation

Train, fine-tune, or develop AI models using our website content without written consent

Engage in any activity that could harm the reputation of SDIT or the individuals and organisations we reference on this website

5. Website Content and Accuracy

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SDIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, punitive, or exemplary damages

Loss of profits, revenue, data, goodwill, or business opportunity

Damages arising from your reliance on information published on this website

Damages arising from interruption or unavailability of the website

arising out of or in connection with these Terms or your use of this website, even if SDIT has been advised of the possibility of such damages.

SDIT's total aggregate liability to you for any claim arising from or related to these Terms or use of this website shall not exceed USD $100 (one hundred US dollars) or the equivalent in local currency.

This limitation does not apply to: (a) liability for death or personal injury caused by gross negligence or wilful misconduct; (b) liability that cannot be excluded under mandatory applicable law, including Mexican consumer protection law and EU consumer rights directives.

8. Indemnification

You agree to indemnify, defend, and hold harmless SDIT, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of this website in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any content you submit to us, to the extent it infringes third-party rights.

9. Privacy

Your use of this website is also governed by our Privacy Policy, incorporated herein by reference: https://sdit.ai/privacy. The Privacy Policy describes how we collect, use, and protect your personal data and your rights under GDPR, CCPA, LFPDPPP, LGPD, and other applicable laws.

10. Governing Law

General: These Terms are governed by and construed in accordance with the laws of the United Mexican States (Mexico), specifically the laws of the State of Querétaro de Arteaga, without regard to conflict of law principles.

For users in Mexico: These Terms comply with the Ley Federal de Protección al Consumidor (LFPC), the Código de Comercio, and the Ley Federal del Derecho de Autor. You have the right to submit complaints to PROFECO (Procuraduría Federal del Consumidor): www.gob.mx/profeco.

For users in the United States: Any dispute not resolved amicably shall be subject to binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in English. This does not apply to claims for injunctive relief or claims within the jurisdiction of small claims courts. Nothing in these Terms waives rights you may have under US state consumer protection laws.

For users in the EU/EEA: These Terms do not override mandatory consumer protection rights granted by EU law, including Directive 2011/83/EU on consumer rights and the EU ADR Directive for online dispute resolution (https://ec.europa.eu/consumers/odr).

For users in Latin America: We respect applicable consumer protection laws in each jurisdiction, including Argentina (Ley 24.240), Colombia (Estatuto del Consumidor), Chile (Ley 19.496), Brazil (Código de Defesa do Consumidor), and other national laws.

11. Dispute Resolution

Step 1 — Amicable Resolution: Before initiating any formal dispute process, the parties shall attempt in good faith to resolve the dispute through direct negotiation. Either party may initiate by sending a written notice to the other describing the dispute and proposed resolution. Parties agree to negotiate in good faith for at least 30 days.

Step 2 — Mediation: If negotiation fails, parties agree to attempt mediation through a mutually agreed mediator before proceeding to arbitration or litigation.

Step 3 — Jurisdiction: If mediation fails, disputes shall be resolved by competent courts in Querétaro, Mexico, or, for users in the USA, through AAA arbitration as described in Section 10. EU users may use the ODR platform.

Language of proceedings: Spanish (Mexico) or English (USA/international), to be agreed by the parties.

SDIT has no control over the content, privacy practices, or accuracy of information on third-party sites and accepts no responsibility for them. The inclusion of any link does not imply endorsement of, or affiliation with, the linked site or its operators.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms with a revised effective date. Your continued use of the website after the effective date constitutes your acceptance of the modified Terms. For material changes, we will attempt to provide reasonable notice.

14. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreement executed between you and SDIT, constitute the entire agreement between you and SDIT regarding your use of this website and supersede all prior discussions, understandings, and agreements on the same subject matter.
